By accessing or using Hrishnali, you ("User", "you", "your") agree to be bound by these Terms, our Privacy Policy, Vendor Policies (where applicable), and other guidelines incorporated herein by reference.
If you do not agree to these Terms, please do not access or use our Platform.
2. Definitions
- User: Any individual or entity who accesses, browses, registers, or transacts on the Platform.
- Vendor/Seller: Any registered User who lists and sells goods or services on the Platform.
- Buyer/Customer: Any User who purchases goods or services listed on the Platform.
- Products: Physical goods, digital goods, and services offered for sale on the Platform.
- Services: Any functions provided by Hrishnali, including listing, order management, payment processing, customer support, marketing, etc.
3. Eligibility to Use
You must be:
- At least 16 years of age.
- Capable of entering into legally binding contracts under applicable law.
- Not barred from using services under any applicable law.
We reserve the right to deny access to any User at our sole discretion.
4. Account Registration and Obligations
- You are required to register an account with accurate, complete, and updated information.
- You agree to maintain the security and confidentiality of your account credentials.
- You are responsible for all activities occurring under your account, whether authorized or not.
- Hrishnali reserves the right to suspend or terminate accounts that provide false, incomplete, or misleading information.
5. Platform Role and Relationship
- Hrishnali acts as an intermediary platform facilitating transactions between Buyers and Vendors.
- Hrishnali is neither the seller nor the manufacturer of the listed Products unless explicitly mentioned.
- Any sale contract is solely between the Buyer and the Vendor.
6. Vendor Registration and Compliance
- Vendors must undergo verification processes as required by Hrishnali, including but not limited to KYC, business registration, and bank account verification.
- Vendors must comply with all applicable laws, including local commerce laws, tax laws, and consumer protection regulations.
- Vendors must ensure that listed Products are genuine, accurately described, and not counterfeit, prohibited, restricted, or infringing.
- Vendors grant Hrishnali rights to display, promote, and market their listings across various channels.
7. Listing of Products
Vendors must:
- Provide detailed, truthful, and non-misleading information for every listing, including specifications, price, warranty terms, and usage instructions.
- List Products under the correct categories.
- Maintain sufficient stock levels to fulfill orders.
Prohibited items include, but are not limited to:
- Illegal items, endangered species, offensive material, prohibited pharmaceuticals, pirated content, counterfeit goods.
8. Order Fulfillment and Delivery
- Vendors must fulfill confirmed orders promptly and dispatch them within the agreed timelines.
- Vendors are responsible for proper packaging, logistics coordination (if self-managed), and tracking updates.
- For orders handled via Hrishnali’s Fulfillment Services (if applicable), Vendors must follow specific guidelines shared separately.
9. Pricing and Payments
- Vendors are solely responsible for setting the prices of their Products.
- Hrishnali reserves the right to correct any pricing errors at its sole discretion.
- Payments for transactions will be processed via authorized payment gateways.
- Hrishnali may deduct applicable commissions, fees, and taxes before disbursing payments to Vendors.
- Payout timelines and dispute settlement reserves (if any) will be governed by the Vendor Agreement.
10. Returns, Refunds, and Cancellations
- Buyers may initiate returns or refunds as per the return and refund policy.
- Vendors must accept legitimate returns in compliance with Platform policies and applicable consumer protection laws.
- For digital Products, refund eligibility will be governed separately and may be restricted depending on the nature of the digital content (most digital products are non-refundable).
- Hrishnali may refund Buyers directly in case of disputes, defective Products, or Vendor non-compliance and recover the amount from the concerned Vendor.
11. Product Authenticity and Warranty
- Vendors must guarantee the authenticity and legality of the Products sold.
- Buyers should report counterfeit or misrepresented Products immediately. Buyers must have an unboxing video and other appropriate proofs to resolve issues faster than usual.
- Hrishnali may remove listings, withhold payouts, and suspend Vendors engaged in selling fake or unauthorized goods.
12. Taxes
- Vendors are responsible for the collection, management, and remittance of all applicable taxes, including GST.
- Hrishnali may generate tax invoices on behalf of Vendors and/or deduct applicable taxes as per Indian law.
13. Intellectual Property
- The content, design, layout, logos, graphics, and trademarks of Hrishnali are the exclusive property of Hrishnali unless otherwise stated.
- Vendors must ensure that the Product images, descriptions, and trademarks used are their own or authorized.
- Any unauthorized use of third-party intellectual property will result in immediate removal and possible legal action.
14. User Conduct
You agree NOT to:
- Violate any applicable law or regulation.
- Post defamatory, obscene, or otherwise offensive content.
- Infringe intellectual property rights of Hrishnali or any third party.
- Attempt unauthorized access to the Platform’s infrastructure.
- Disrupt or negatively affect other Users' use and enjoyment of the Platform.
15. Reviews and Feedback
- Buyers may post reviews about Vendors or Products based on actual purchase experiences.
- Vendors may not manipulate reviews through incentives or threats.
- Hrishnali reserves the right to moderate, remove, or reject any reviews that are false, abusive, irrelevant, or violate Platform policies.
16. Platform Rights
- Hrishnali reserves the right to modify, suspend, or discontinue any feature, service, or content at its sole discretion, without notice.
- Hrishnali may, but is not obligated to, monitor usage and remove any content or Users that violate the Terms.
17. Account Suspension, Termination, and Penalties
We may temporarily or permanently suspend or terminate your account without prior notice if:
- You violate these Terms or applicable laws.
- You provide false information.
- You engage in fraudulent, abusive, or harmful behavior.
- We detect a risk to Platform integrity, Users, Vendors, or our reputation.
Upon termination:
- All outstanding payments, if any, become immediately due.
- You must cease use of the Platform immediately.
18. Disclaimers
- The Platform and services are provided "as is" without any warranties, express or implied.
- Hrishnali does not guarantee the accuracy, completeness, or timeliness of the Product listings.
- Hrishnali disclaims liability for any damages arising out of transactions between Users and Vendors.
19. Limitation of Liability
- Hrishnali shall not be liable for indirect, incidental, punitive, or consequential damages.
- Hrishnali’s total liability, whether in contract, warranty, tort, or otherwise, shall not exceed the amount paid by you to Hrishnali in the last 6 months.
20. Indemnification
You agree to indemnify, defend, and hold harmless Hrishnali, its officers, directors, employees, agents, and affiliates from and against any third-party claims, liabilities, damages, costs, and expenses (including legal fees) arising from:
- Your use of the Platform.
- Your violation of these Terms.
- Your infringement of any rights of another User or third party.
21. Force Majeure
Hrishnali shall not be held liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, war, cyberattacks, governmental restrictions, or technical failures.
22. Governing Law and Jurisdiction
- These Terms shall be governed by and construed under the laws of India.
- Any dispute shall be subject to the exclusive jurisdiction of courts located in Pune, Maharashtra, India.
23. Changes to Terms
We may revise these Terms at any time.
Revised Terms become effective upon posting on the Platform.
It is your responsibility to review these Terms periodically.
